LUMALYTICS TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Lumalytics (referred to as “Lumalytics,” “we,” “us,” or “our”). By accessing or using our SaaS platform (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the Service.

1. ORGANIZATIONAL RESPONSIBILITY

Lumalytics is a B2B service intended for use by organizations (“Customers”).

Administrator Authority: The individual creating the Lumalytics organization represents that they have the authority to bind their entity to these Terms.

User Management: The Customer is solely responsible for adding, maintaining, and removing Authorized Users within their organization.

Compliance: Customer is responsible for ensuring that all Authorized Users abide by these Terms. Any act or omission by an Authorized User is deemed an act or omission of the Customer.

2. DISCLAIMER OF WARRANTIES

Lumalytics provides the Service on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by Massachusetts law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

3. EXCLUSION OF DAMAGES

In no event shall Lumalytics be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of (or inability to access or use) the Service.

4. LIMITATION OF LIABILITY (LIABILITY CAP)

Note on Legal Structure: While we exclude most types of damages in Section 3, certain legal claims (such as those involving gross negligence) cannot be fully waived by law. This cap provides a final ceiling for any such claims.

Lumalytics’ total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount of fees paid by you to Lumalytics during the twelve (12) months immediately preceding the event giving rise to the claim.

5. DATA OWNERSHIP & PORTABILITY

Customer retains ownership of all data submitted to the Service. In accordance with 2026 standards, Lumalytics provides tools for you to export your data in a machine-readable format at any time during your active subscription.

6. GOVERNING LAW

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
